AGREEMENTDated: Parties: (1) Asma Mohammed AlNeyadi (2) xxxxxxxxx company Purpose: [Digital watch]This Agreement between Asma Mohammed Alneyadi and jellyfish technologies Company Asma Mohammed AlNeyadi and xxxxxx Company hereby agree as follows:1. xxxxxxxx company Obligationsxxxxxxx company agrees to comply with the requirements and fulfil the commitments contained in this Agreement and the following :a. Subcontracting and Authorityxxxxxxx company acknowledges and agrees that no subcontracts may be entered into for carrying out any portion of the project. xxxxxxxxx company has no authority to bind Asma Mohammed Alneyadi to any obligation with a third party.b. Material ChangesAll material changes to agreed deliverables and milestones must be agreed to in writing by Asma Mohammed Alneyadi.2. Financial MattersAll expenditures must be made, documented and recorded in accordance.3. EquipmentAny equipment purchased for the project ''watch'' will be and remain the property of Asma Mohammed Alneyadi.4. Intellectual Propertya. Ownership: All intellectual property arising out of or developed as a result of the fund shall be owned by Asma Mohammed Alneyadi.b. Work Product: Asma Mohammed Alneyadi shall own all research results, laboratory notebooks, data, business plans, and other materials developed under this Agreement, in whatever form (“Work Product”).c. Non-infringement: xxxxxxxx company shall not infringe on any third party’s intellectual property rights during performance under this Agreement.d. Third Party Rights: jellyfish technologies company acknowledges and agrees that no third parties be involved in the project.5. Confidentialityxxxxxxxx company shall use all reasonable efforts to prevent disclosure of Intellectual Property and any other information and results relating to the project not disclose orally, by written publication, or otherwise, any Intellectual Property or any other information relating to this project.Reports and Recordsa. Reports: On at least a weekly, xxxxxxxx company shall submit financial, technical and other types of reports reasonably requested by Asma Mohammed Alneyadi.b. Final Report: The final report shall include all Work Product and copies of any other materials produced in connection with the project. 6. Term/ExpirationThis Agreement continues without limitation in time.7. TerminationTermination for Lack of Commercial Feasibility: Asma Mohammed Alneydi may at any time, in its sole discretion, terminate the Agreement due to lack of current or projected commercial feasibility.8. Additional Provisionsa. Compliance: xxxxxxxxxxx company shall comply with all applicable laws and regulationsb. Governing Law: This Agreement shall be construed in accordance with the laws of the United Arab Emirates, without regard to choose or conflict of laws principles that would cause the application of any other law.c. Language of Communication: The language of all communications shall be English.d. Amendments: Except as otherwise provided in this Agreement, no change to the terms.e.
